Agreement to our legal terms
We are Misbau LLC ("Company", "we", "us", or "our"), a company registered in the United Arab Emirates at Sharjah Media City, P O Box 130130, Sharjah.
We operate the website rightqs.com (the "Platform"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").
RightQS is a specialist matching platform for Quantity Surveyors ("Candidates") and the organisations that hire them ("Employers"), with a focus on the United Arab Emirates and the wider Gulf region. Candidates build a professional profile, Employers describe roles in a structured way, and the Platform identifies where the two are genuinely compatible. Identities are shared only when both sides express interest in each other.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Misbau LLC, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
We will notify users of changes by posting the updated Legal Terms on the Platform and updating the "Last updated" date. For material changes, we will provide notice on the Platform or by email before the changes take effect.
The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.
1. Our services
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.
We are a matching platform, not a recruitment agency. RightQS introduces Candidates and Employers to each other where the Platform indicates they may be compatible. We are not an employment agency, labour supplier, or staffing business; we do not employ Candidates, we do not act as agent for either side, and we are not a party to any interview, offer, employment contract, or engagement that may result from an introduction. All hiring decisions, background and qualification checks, contract negotiations, visa and work authorisation arrangements, and terms of employment are exclusively between the Candidate and the Employer. We do not guarantee that any Candidate will receive matches, interviews, offers, or employment, or that any Employer will find or hire suitable candidates.
Match scores are informational. Compatibility scores, labels, and explanations produced by the Platform are the output of a deterministic scoring method applied to the information both sides provide. They are provided to help you prioritise, are only as good as the information supplied, and are not advice, a recommendation to hire, or a warranty of suitability.
2. Intellectual property rights
We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, designs, text, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). Our Content and Marks are protected by copyright and trademark laws and treaties around the world. The Content and Marks are provided in or through the Services "AS IS" for your personal or internal business purpose only.
Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services solely for your personal use (as a Candidate) or internal business purpose (as an Employer). Except as set out in this section, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission. We reserve all rights not expressly granted to you in and to the Services, Content, and Marks. Any breach of these intellectual property rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.
By directly sending us any question, comment, suggestion, idea, or feedback about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission. For clarity, Submissions means feedback about the Services. It does not include your profile, CV, role postings, or messages, which are dealt with in the "Your content" section below.
3. User representations
By using the Services, you represent and warrant that: (1) all registration and profile information you submit will be true, accurate, current, and complete, and you will keep it so; (2) you have the legal capacity and you agree to comply with these Legal Terms; (3) you are at least 18 years old; (4) you will not access the Services through automated or non-human means; (5) you will not use the Services for any illegal or unauthorised purpose; and (6) your use of the Services will not violate any applicable law or regulation.
If you use the Services on behalf of an organisation, you additionally represent and warrant that you are authorised to act for that organisation, that the organisation exists and carries on the business you describe, and that the roles you post are genuine, current hiring needs of that organisation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services.
4. User registration
You are required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password.
5. Fees
The Services are currently provided free of charge during our pilot phase. We may introduce paid plans or features in the future. If we do, we will give you clear notice of the applicable prices and terms before you incur any charge, and continued use of any paid feature will be subject to your acceptance of those prices and terms. Candidates will never be charged a fee for being matched with, or introduced to, an Employer.
6. Prohibited activities
You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:
- Create a false, misleading, or impersonated profile, or post roles that do not correspond to a genuine hiring need.
- Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
- Use information obtained through the Services (including candidate cards, released identities, and messages) for any purpose other than evaluating and progressing the specific match through which it was disclosed; in particular, you may not add it to marketing lists, candidate databases, or CRM systems unrelated to that match, or sell or share it with third parties, including recruiters.
- Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
- Circumvent, disable, or otherwise interfere with security-related features of the Services, including the anonymity protections that withhold identities before a mutual match.
- Attempt to identify an anonymised Candidate or confidential Employer other than through the Platform's mutual-match process.
- Use the Services in a manner inconsistent with any applicable laws or regulations, including employment and anti-discrimination laws.
- Harass, abuse, threaten, or discriminate against any user, including in messages sent through the Platform.
- Upload or transmit viruses, Trojan horses, or other material that interferes with any party's uninterrupted use of the Services.
- Engage in any automated use of the system, or use any data mining, robots, scrapers, or similar data gathering and extraction tools.
- Attempt to impersonate another user or person.
- Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
- Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services.
- Use the Services to build or operate a product or service that competes with the Services, or resell, sublicense, or white-label the Services.
- Sell or otherwise transfer your profile or account.
7. Your content
"Your Content" means the information you submit to the Platform, including your professional profile, CV documents, employment history, capabilities, preferences, organisation details, role postings, and messages. You retain full ownership of Your Content. We do not assert any ownership over it.
So that we can operate the Services, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, and display Your Content solely as needed to provide the Services, including: processing your CV to build your profile; producing anonymised candidate or role cards; computing match scores; and disclosing information to the other side of a match as described in the "Matching, anonymity, and identity release" section. This licence ends when Your Content is deleted from the Services, except where retention is required by law or for legitimate audit purposes.
You are solely responsible for Your Content. You represent and warrant that it is accurate to the best of your knowledge, does not infringe the rights of any third party, is not false, fraudulent, or misleading, and does not violate any applicable law. Employers are solely responsible for the lawfulness of their role requirements and hiring practices.
8. CV extraction and automated processing
If you upload a CV, the Platform uses an artificial intelligence service to read the document and propose profile entries (for example, employment history, capabilities, and qualifications). Everything the extraction proposes is presented to you for review, and you can correct, complete, or delete any of it before your profile goes live. You may also decline to upload a CV and build your profile manually; the extraction is a convenience, not a requirement.
Match scoring is performed by a deterministic method, not by artificial intelligence, and is limited to professionally relevant information. The Platform does not use protected personal characteristics (such as nationality, age, gender, religion, or marital status) as matching criteria, and the CV extraction is instructed to ignore them. No decision with legal or similarly significant effect is made about you solely by automated means: matches are introductions, and every consequential step (expressing interest, interviewing, hiring) is taken by people.
9. Matching, anonymity, and identity release
Before a mutual match, Employers see Candidates only as anonymised cards (for example, seniority, years of experience, and location), and Candidates see roles that may, at the Employer's choice, be confidential (employer type shown, name withheld).
When both sides of a match express interest, identities are released: the Candidate's name and contact email are disclosed to the Employer, and the Employer's organisation name and contact details are disclosed to the Candidate, and a conversation is opened between them. By expressing interest in a match, you consent to this disclosure to the other party of that match. Once information has been released to the other party, its further handling by them is subject to their legal obligations (and, for Employers, the restrictions in the "Prohibited activities" and "Employer obligations" sections), and we are not responsible for their conduct outside the Platform.
Declining or passing on a match is never disclosed to the other side as a rejection by you; the match simply does not proceed.
10. Employer obligations
As an Employer, you additionally agree to:
- post only genuine roles that your organisation is actively seeking to fill, and deactivate roles that are no longer open;
- complete our organisation verification process honestly and keep your organisation details current;
- use Candidate information (anonymised or released) only to evaluate and progress the specific match through which you received it, and delete it if the match does not proceed;
- comply with all employment, immigration, and anti-discrimination laws applicable to your hiring, and not use the Platform to apply unlawful criteria;
- never charge, or attempt to recover from, a Candidate any fee or cost in connection with an introduction, interview, or offer made through the Platform.
11. Third-party services
The Services are built on reputable third-party infrastructure, including cloud hosting, database, email delivery, and AI document processing providers, as described in our Privacy Policy. The Services may also contain links to third-party websites. We are not responsible for the content, accuracy, or practices of third-party websites, and linking to them does not imply our endorsement. Any dealings you have with third parties, including Employers' or Candidates' own websites, are exclusively between you and them.
12. Services management
We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms; (3) refuse, restrict access to, limit the availability of, or disable any of your content or any portion thereof; (4) verify, decline to verify, suspend, or remove Employer organisations at our discretion, including where we cannot establish that an organisation or role is genuine; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services, including the integrity of the matching process.
13. Privacy policy
We care about data privacy and security. Please review our Privacy Policy at rightqs.com/privacy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The database supporting the Services is hosted in the European Union, and certain processing (described in the Privacy Policy) takes place in the United States. By using the Services you consent to your data being transferred to and processed in those locations.
14. Term and termination
These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.
You may close your account at any time by contacting us at legal@misbau.com. If we terminate or suspend your account for breach, you are prohibited from registering a new account under your name, a fake or borrowed name, or the name of any third party.
15. Modifications and interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance, resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services.
16. Governing law
These Legal Terms shall be governed by and construed in accordance with the substantive laws of the United Arab Emirates. Any dispute arising out of or in connection with these Legal Terms shall be resolved exclusively through arbitration as set out in the "Dispute resolution" section below, save for those matters expressly excepted from arbitration in that section.
17. Dispute resolution
Informal negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute"), you and we agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one party to the other.
Binding arbitration
If the parties are unable to resolve a Dispute through informal negotiation, the Dispute shall be referred to and finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with the DIAC Arbitration Rules in force at the time of commencement of the arbitration, which rules are deemed to be incorporated by reference into this section. The number of arbitrators shall be one (1). The seat, or legal place, of arbitration shall be Dubai, United Arab Emirates. The language of the proceedings shall be English. The governing law of these Legal Terms shall be the substantive law of the United Arab Emirates.
Restrictions
The parties agree that any arbitration shall be limited to the Dispute between the parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilise class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Exceptions to arbitration
The parties agree that the following Disputes are not subject to the above provisions concerning binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorised use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable, and such Dispute shall be decided by a court of competent jurisdiction in the United Arab Emirates, and the parties agree to submit to the personal jurisdiction of that court.
For clarity, this section governs disputes between you and Misbau LLC about the Services. Disputes between a Candidate and an Employer (for example, about an interview, offer, or employment) are between those parties, and we are not a party to them.
18. Corrections
There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.
19. Disclaimer
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT ANY MATCH SCORE, LABEL, OR EXPLANATION IS ACCURATE OR COMPLETE; THAT ANY CANDIDATE OR EMPLOYER PROFILE, ROLE POSTING, OR OTHER USER CONTENT IS TRUTHFUL, ACCURATE, OR LAWFUL; THAT ANY CANDIDATE IS SUITABLE OR AVAILABLE FOR ANY ROLE; THAT ANY EMPLOYER OR ROLE IS GENUINE, SOLVENT, OR COMPLIANT WITH LAW; OR THAT USE OF THE SERVICES WILL RESULT IN ANY MATCH, INTERVIEW, OFFER, HIRE, OR OTHER OUTCOME. YOU ARE SOLELY RESPONSIBLE FOR YOUR OWN DUE DILIGENCE ON ANY PARTY YOU ARE INTRODUCED TO THROUGH THE SERVICES.
20. Limitations of liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, LOSS OF OPPORTUNITY OR EMPLOYMENT, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES OR FROM ANY INTRODUCTION, MATCH, OR ENGAGEMENT MADE THROUGH THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING OR AED 500.
NOTHING IN THESE LEGAL TERMS SHALL EXCLUDE OR LIMIT OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
21. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your use of the Services; (2) breach of these Legal Terms; (3) any breach of your representations and warranties set forth in these Legal Terms; (4) your violation of the rights of a third party, including but not limited to intellectual property rights and the privacy rights of other users; or (5) any hiring decision, employment relationship, or other dealing between you and another user. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defence of such claims.
22. User data
We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You should retain your own copies of your CV and any records you need. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.
23. Electronic communications, transactions, and signatures
Using the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES.
24. Miscellaneous
These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of the Services.
